NullSpace Special Terms of Use

1. AGREEMENT TO TERMS

These Special Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and NullSpace OÜ (“Company”, “we”, “us”, or “our”), concerning your access to and use of the nullspace.cloud website (the “Website”) and the fitness management platform, as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Platform”). We are registered in Estonia and have our registered office at Tornimäe 5, Tallinn 10145. Our VAT number is EE123456789. You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Special Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE SPECIAL TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE Platform AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The Special Terms of Use supplements and extends the NullSpace General Terms of Use, which are incorporated herein by reference and apply in their entirety. These Special Terms of Use govern the specific terms of service applicable to your use of the NullSpace Platform (as defined in the General Terms of Use). These Special Terms of Use, together with the General Terms of Use, constitutes the entire agreement between you and NullSpace regarding your use of the Platform.

2. SUBSCRIPTION TERMS

Subscription Options

NullSpace offers various subscription plans with different features and pricing. You can find a detailed description of these plans on our website. We may change prices at any time and at our own discretion.

Due Payment

For invoiced subscriptions, payment is due within thirty days of the invoice date. For automatically charged subscriptions, payment is due immediately upon the charge or thirty days if a charge attempt fails.

Automatic Renewal

Your subscription will automatically renew at the end of the chosen term (e.g., monthly or annually) unless you terminate it beforehand.

3. TERMINATION

You can terminate your subscription by sending an email to customer support at support@nullspace.cloud. There is no required notice period; however, your subscription will only end at the conclusion of the current term. NullSpace does not offer refunds for unused portions of your subscription.

4. FREE TRIAL

NullSpace may, at its sole discretion, offer you a free trial of the Platform for a limited period of thirty days. The account will not be charged and the subscription will be suspended until upgraded to a paid version at the end of the free trial. During the free trial, both the General Terms of Use and the Special Terms of Use apply in their completeness.

5. PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us, such as VAT in the European Union.

You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorise us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Platform.

NullSpace accepts payments in various currencies. The chosen currency will be automatically converted to Euros (EUR), US Dollars (USD) or Great British Pounds (GBP) for processing. If you pay in a currency other than the aforementioned, the due amount will be converted. You are responsible for any conversion fees associated with this process.

6. PAYMENT PROCESSING

NullSpace utilises Stripe Connect to facilitate payments between you and your customers. By using Stripe Connect, you agree to be bound by the additional terms and conditions set forth by Stripe, which can be found at: https://stripe.com/legal/connect-account. You are responsible for any transaction fees associated with payments you receive through Stripe Connect on the Platform. These transactions include those that your customers make to you. These fees will be deducted from the amount paid out to you.
